NODWIN Gaming Acquires Trinity Gaming in a Deal Valued at Rs 24 Crore

NODWIN Gaming has announced the acquisition of Trinity Gaming in a deal valued at Rs 24 Crore. Following the acquisition, Trinity Gaming will become a fully owned subsidiary of NODWIN Gaming, expanding the company’s reach and capabilities in the Indian gaming and content sector.
The acquisition involves the purchase of 100% of Trinity Gaming’s share capital through a combination of secondary sale and stock swap of NODWIN Gaming shares. The total consideration of up to Rs 24 Crore will be paid partly in cash (up to Rs 4.8 crore) and the balance of Rs 19.2 crore will be settled by a swap of equity shares of NODWIN Gaming.
As part of the deal, the founders of Trinity Gaming—Abhishek Aggarwal and Shivam Rao—will become shareholders of NODWIN Gaming and continue to lead the business.
